MAKESPACE WEB LLC – UNIVERSAL TERMS OF SERVICE AGREEMENT

PLEASE READ THIS UNIVERSAL TERMS OF SERVICE AGREEMENT CAREFULLY, AS IT CONTAINS IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS AND REMEDIES.

OVERVIEW

This Universal Terms of Service Agreement (this “Agreement”) is entered into by and between Makespace Web LLC and Website Owner, and is made effective as of the date of first payment to Makespace Web LLC from Website Owner upon signing up for hosting services provided by Makespace Web LLC to Website Owner. This Agreement sets forth the general terms and conditions of hosting services provided by Makespace Web LLC.

The terms “we”, “us” or “our” shall refer to Makespace Web LLC. The terms “you”, “your”, “User” or “Website Owner” shall refer to any individual or entity who accepts this Agreement by utilizing hosting services provided by Makespace Web LLC. Nothing in this Agreement shall be deemed to confer any third-party rights or benefits.

MODIFICATION OF AGREEMENT, SITE OR SERVICES

Makespace Web LLC may, in its sole and absolute discretion, change or modify this Agreement, and any policies or agreements which are incorporated herein, at any time, and such changes or modifications shall be effective immediately upon posting to this Site. Your use of this Site or the hosting services after such changes or modifications have been made shall constitute your acceptance of this Agreement as last revised. If you do not agree to be bound by this Agreement as last revised, do not use (or continue to use) this Site or the hosting services. In addition, Makespace Web LLC may occasionally notify you of changes or modifications to this Agreement by email. It is therefore very important that you keep your account (“Account”) information current. Makespace Web LLC assumes no liability or responsibility for your failure to receive an email notification if such failure results from an inaccurate email address. In addition, Makespace Web LLC may terminate Your use of Services for any violation or breach of any of the terms of this Agreement by You. Makespace Web LLC RESERVES THE RIGHT TO MODIFY, CHANGE, OR DISCONTINUE ANY ASPECT OF THIS SITE OR THE SERVICES, INCLUDING WITHOUT LIMITATION PRICES AND FEES FOR THE SAME, AT ANY TIME originating from an authorized representative of your corporate entity. If there is reasonable doubt about the authenticity of any such instruction, notice, document or communication, Makespace Web LLC reserves the right (but undertakes no duty) to require additional authentication from you. You further agree to be bound by the terms of this Agreement for transactions entered into by you, anyone acting as your agent and anyone who uses your account or the hosting service, whether or not authorized by you.

TERMS OF SERVICE

1. Website Owner agrees to pay Makespace Web LLC monthly for website hosting services rendered.
2. Service shall begin immediately following sign-up and payment for the first month of hosting services. 
3. This Agreement is under automatic renewal terms and may be cancelled with 30 days written notice by either party.
4. If Website Owner fails to make monthly payments hosting service will be suspended until payment for hosting services is received. 
5. Renewal prices are subject to change. Makespace Web LLC will provide 60 days notice upon such change taking place.
6. In instances of any changes in pricing Website Owner’s payment upon renewal will constitute as agreement of said changes. 
7. Makespace Web LLC  is in agreement to meet compliance under applicable data privacy laws for Website Owner’s data and content 
8. Website Owner holds rights to all website data and content while hosting with Makespace Web LLC

Termination 

Termination of hosting services can occur in the instance of one or more of the following events: 

1) Failure to comply with any and all terms listed above. 

2) Bankruptcy of either party 

3) Upon 30 days written agreement between both parties

Disputes

If legal proceedings shall occur for any reason regarding this web hosting agreement the party prevailing shall have all costs, and fees in connection with that proceeding covered by opposite party. 

General

If any terms are found unenforceable in this contract all other terms shall remain in full effect and shall not be altered unless previously agreed between parties. This Agreement shall be governed by and construed in accordance with the laws of the State of Texas. Any and all court proceedings regarding this web hosting agreement will take place at said state with travel expenses not being reimbursed for either party.
